These Terms of Service govern your access to and use of the JobTalk AI platform. Please read them carefully before using our Services.

Acceptance of Terms

Agreement to Terms

By accessing or using the JobTalk AI platform, website, APIs, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms, and references to "you" include that entity.

Eligibility

You must be at least 18 years of age and capable of forming a legally binding contract to use our Services. The Services are intended for business use by recruiters, staffing firms, HR professionals, and employers. Use of the Services for personal, family, or household purposes is not permitted.

Changes to Terms

JobTalk AI reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, notifying you by email. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

Description of Services

AI Recruiting Platform

JobTalk AI provides an agentic AI recruiting platform that enables recruiters, staffing firms, and employers to automate candidate outreach, conduct AI-powered phone screenings, qualify candidates against defined criteria, schedule interviews, and sync results with applicant tracking systems (ATS). The platform uses conversational voice AI to conduct structured screening interviews at scale.

ATS Integrations

The Services include integrations with third-party ATS platforms (including Greenhouse, Lever, Workday, BambooHR, iCIMS, Bullhorn, and others). These integrations are provided as-is and are subject to the terms and availability of the respective third-party platforms. JobTalk AI is not responsible for disruptions caused by changes to third-party APIs.

AI Voice Agents

Our AI voice agents are designed to conduct natural, professional screening conversations. You acknowledge that AI systems may produce unexpected outputs, and you are solely responsible for reviewing AI-generated candidate assessments before making any hiring decisions. JobTalk AI does not make hiring decisions on your behalf.

Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. Scheduled maintenance, updates, or circumstances beyond our control may result in temporary downtime. We will provide advance notice of planned maintenance where reasonably possible.

Accounts and Access

Account Registration

To access the Services, you must create an account by providing accurate and complete information. You are responsible for keeping your account information up to date. You may not use a false identity, impersonate another person or organization, or create an account on behalf of someone else without their authorization.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at assist@jobtalk.ai if you suspect unauthorized access to your account. JobTalk AI is not liable for any loss or damage arising from your failure to secure your account credentials.

Team Members and Sub-Accounts

You may invite team members to access your organization's account. You are responsible for ensuring all users in your account comply with these Terms. Each user must agree to these Terms individually. You may revoke team member access at any time through your account settings.

Account Suspension

JobTalk AI reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, misuse the Services, or fail to pay applicable fees. We will provide notice where legally required or reasonably practicable before suspending or terminating an account.

Acceptable Use Policy

Permitted Use

You may use the Services solely for lawful business recruiting purposes, including conducting candidate outreach, automated phone screenings, and interview scheduling. All use must comply with applicable employment laws, anti-discrimination statutes, telemarketing regulations (including TCPA), and Do Not Call registry requirements.

Prohibited Activities

You must not use the Services to: discriminate against candidates based on race, color, religion, sex, national origin, age, disability, or any other protected characteristic; contact individuals without proper consent or in violation of Do Not Call laws; conduct screenings for roles that violate applicable labor laws; scrape, harvest, or collect data from the platform beyond your own account data; reverse engineer, decompile, or attempt to extract the source code of our platform; or use the Services to train competing AI models.

Candidate Consent

You are responsible for ensuring that candidates you submit to JobTalk AI for outreach or screening have provided appropriate consent to be contacted, including consent to receive automated calls and messages. You must comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all applicable telemarketing laws in the jurisdictions where your candidates are located.

Screening Criteria

You are solely responsible for the screening criteria, questions, and evaluation frameworks you configure in the platform. Screening criteria must not request information about protected characteristics, nor may they be designed to screen out candidates based on protected characteristics. JobTalk AI provides tools for compliant hiring but cannot ensure that improperly configured criteria meet legal requirements.

Data and Candidate Information

Your Data Ownership

You retain ownership of all candidate data, job descriptions, screening criteria, and other content you upload or configure in the platform ("Customer Data"). By submitting Customer Data to JobTalk AI, you grant us a limited license to process and use that data solely to provide the Services.

Data Processing Agreement

To the extent that your use of the Services involves the processing of personal data subject to GDPR or other applicable data protection laws, our Data Processing Agreement (DPA) applies and is incorporated into these Terms by reference. You may request a copy of the DPA by contacting privacy@jobtalk.ai.

Candidate Disclosures

You must ensure that candidates are informed prior to any AI-conducted screening that they are interacting with an AI system and that the call may be recorded. This obligation exists regardless of applicable law and is a condition of using the Services.

Data Accuracy

You are responsible for the accuracy of candidate data you submit to the platform. JobTalk AI is not responsible for errors, omissions, or inaccuracies in data provided by you or sourced from third-party ATS integrations.

Billing and Payment

Subscription Plans

JobTalk AI offers subscription-based pricing plans. Applicable fees are described on our pricing page or in your order form. By subscribing, you authorize JobTalk AI to charge the payment method on file for all applicable fees at the beginning of each billing cycle.

Payment Terms

All fees are due in advance and are non-refundable except as expressly stated in these Terms or required by applicable law. If payment fails, we may suspend access to your account until payment is received. You are responsible for all taxes, duties, and levies associated with your use of the Services.

Plan Changes and Upgrades

You may upgrade or downgrade your plan at any time through your account settings or by contacting our team. Upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing cycle. Unused credits or prepaid capacity do not carry over after a downgrade.

Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle; you will retain access to the Services until that date. We do not provide refunds for unused portions of a billing period. If you believe you were charged in error, contact billing@jobtalk.ai within 30 days of the charge.

Intellectual Property

JobTalk AI Ownership

JobTalk AI and its licensors own all rights, title, and interest in the Services, including all software, AI models, algorithms, interfaces, designs, trademarks, and documentation. Nothing in these Terms transfers ownership of any JobTalk AI intellectual property to you. You receive only the limited right to use the Services as described in these Terms.

Feedback

If you submit feedback, suggestions, or ideas about the Services, you grant JobTalk AI a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including improving the Services, without any obligation to compensate you.

No Reverse Engineering

You may not copy, modify, distribute, sell, or lease any part of the Services, nor may you reverse engineer or attempt to extract the source code, AI model weights, or underlying technology of the platform, except where such restriction is prohibited by applicable law.

Disclaimers and Limitations

No Hiring Guarantees

JobTalk AI is a tool to assist in the recruiting process. We do not guarantee any specific hiring outcome, candidate quality, fill rate, or time-to-hire. You are solely responsible for all hiring decisions. AI-generated candidate assessments are informational and should not be the sole basis for employment decisions.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. JOBTALK AI DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOBTALK AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES YOU PAID TO JOBTALK AI IN THE 12 MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless JobTalk AI, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising from: your use of the Services; your violation of these Terms; your violation of applicable laws or third-party rights; or your candidate screening activities, including TCPA violations, EEOC violations, or improper candidate contact.

Termination

Termination by You

You may stop using the Services and cancel your account at any time by contacting assist@jobtalk.ai or using the account cancellation flow in your dashboard. Termination does not entitle you to a refund of prepaid fees.

Termination by JobTalk AI

We may suspend or terminate your access to the Services immediately, without prior notice, if you materially breach these Terms, engage in illegal activity through the Services, fail to pay applicable fees after a grace period, or if we are required to do so by law.

Effect of Termination

Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days following termination, during which you may request an export. After 30 days, your data will be deleted in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination will remain in effect.

Governing Law and Disputes

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.

Dispute Resolution

In the event of a dispute arising out of or related to these Terms or the Services, both parties agree to first attempt to resolve the dispute informally by contacting assist@jobtalk.ai. If the dispute is not resolved within 30 days, either party may pursue binding arbitration under the rules of the American Arbitration Association (AAA) in Middlesex County, New Jersey.

Class Action Waiver

You agree that any disputes will be resolved on an individual basis and not as part of a class action, class arbitration, or representative proceeding. You waive your right to participate in a class action lawsuit or class-wide arbitration against JobTalk AI.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any applicable order forms or Data Processing Agreements, constitute the entire agreement between you and JobTalk AI regarding your use of the Services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of JobTalk AI.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. JobTalk AI may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
